BTECH CLIENT TERMS OF USE

INTRODUCTION

The present Terms & Conditions are designed to inform you of your rights and obligations when using BTECH's services.

Btech for Trade & Distribution ("BTECH") operates an e-commerce marketplace consisting of a website ("Website") and mobile application ("Mobile Application") (together "Platform"), with supporting logistics and payment infrastructure, for the sale and purchase of household appliances, mobiles, electronics and IT products (collectively the "Products") in the Arab Republic of Egypt.

The Present Terms and Conditions ("Platform Terms of Use" or "Terms"), together with the privacy policy ("Privacy Policy"), incorporated herein by reference, which describes how BTECH ("BTECH", "we", "our" or "us") uses the information and data the user ("you", "yours" or "User"), share with us shall govern your access and use of our services ("Services").

By checking the "I Agree" button, you hereby acknowledge:

You have read the Terms and Privacy policy
You agree and consent to be bound by the Terms and Privacy Policy as they constitute a legally binding agreement between you and BTECH
You expressly instruct BTECH to communicate specific information about you and your account to third-parties in accordance with the Privacy Policy

IMPORTANT: We reserve the right at our sole discretionary power to change, add, modify, alter, amend or remove the Terms or any of its features, in whole or in part, without any obligation to notify you. We may update the Terms to reflect changes in laws, regulations, rules, technology, systems use, and availability of Third-Party's Content. Amendments shall be effective upon being published on our Platform.

We reserve the right to suspend or discontinue your use and access to our Service, restrict or terminate the availability of certain Services to you, or delete your account in case we have reason to believe that you violated any of the Terms. Any termination or cancellation may be effected without prior notice.

1. ELIGIBILITY & REGISTRATION

Age and Residency Requirements

You must be at least 18 years of age and resident in Egypt
If you are a minor and wish to purchase from our Platform, please have a parent or legal guardian make the purchase for you
If you use our Services on behalf of another entity, you warrant that you have the legal authority to bind such entity to the Terms

Registration Information Required

To register as a member, you will be required to provide:

Email address
Contact number
Username
Password

Your Responsibilities

You represent and warrant that your Registration Information shall be:

True and current
Accurate and complete
Updated and maintained at all times

Consequences of False Information: If Registration Information is proven inaccurate, false, incomplete or outdated, BTECH reserves the right to suspend, delete your account or restrict your access and use of our Services.

Prohibited Activities

You acknowledge that you will not:

Register under a false name
Attempt to impersonate any other person
Engage in fraudulent conduct

Such actions constitute a violation of Applicable Law and will entitle BTECH to indefinitely suspend, limit or withdraw your access.

2. LOGIN CREDENTIALS

Your Responsibilities

Protect and safeguard the confidentiality of your username and password
Do not disclose Login Credentials to any third-party except authorized users
You are responsible for all activities occurring under your account
Notify BTECH immediately if account security is compromised

Account Restrictions

You may not:

Access another user's account without express consent
Transfer or assign your account without our prior written consent
Register more than one account

Identity Verification: BTECH may request valid supporting documents to verify your identity or entity authorization. Failure to provide requested documentation may result in account suspension or deletion.

Account Management

BTECH may delete unconfirmed or inactive accounts
BTECH may reject or terminate service provision at its discretion
Subject to compliance, you receive a limited, non-exclusive, non-transferable license to use our Services

3. COMMUNICATIONS & PROMOTIONAL EMAILS

By registering, you accept to receive:

Emails regarding newest changes and features
Text messages about promotional activities
Electronic communications that satisfy legal writing requirements

Opt-out Option: You can opt out of promotional emails by clicking the link at the bottom of every promotional email.

4. PRODUCTS LIABILITY

Platform Role

BTECH is an online platform that:

Allows you to purchase Products sold by Vendors
Displays Products on our Platform
Accepts purchase and collects payment on behalf of Vendors
Is not a party to the purchase transaction between you and Vendors

Important Understanding

Our Platform offers the opportunity to purchase Products owned by Vendors. Any warranty on Products sold by Vendors through BTECH will be governed by the terms of business of the respective Vendor.

BTECH Disclaimers

BTECH shall not be responsible for:

Unsatisfactory or delayed performance from Vendors
Product availability, quality, safety, merchantability, durability, performance, suitability or fitness

Release of Claims: You agree to release and forever discharge BTECH from any claims, obligations, liabilities, disputes, demands, damages, losses or causes of action arising from use of our Services.

Liability Limitations

BTECH shall not be held liable for damages or losses unless:

Damage is attributed to BTECH's negligence or willful misconduct
Damage could have been prevented by BTECH
BTECH knowingly abstained from informing you of likelihood of damage

Exception: When BTECH is the technical agent of the Product in Egypt, BTECH accepts purchase and collects payment on its own behalf.

5. OUR CONTENT

Intellectual Property Rights

All content on our Platform is the exclusive property of BTECH, its suppliers, licensors, or respective Vendors, including:

Page headers and custom graphics
Button icons and scripts
Descriptions and presentations
Text, graphical, video and audio forms
Images, icons, software, designs, applications, data

License Granted to You

You receive a limited, non-exclusive, non-assignable, non-transferable license to:

Access our Content
Use our Services for lawful and personal use only

Prohibited Uses

You may not:

Dissemble, decompile, reverse-engineer, or derive source code
Decrypt, modify, alter, scrape, frame, reproduce, upload, transmit
Adapt, improve, enhance, update, remove, delete, add to, publish
Sell, resell, create derivative works, manipulate, or exploit our Content
Use data mining, robots, or similar data gathering tools
Copy, modify, or distribute our Content
Use BTECH trademarks and logos inappropriately

Enforcement: BTECH reserves the right to suspend or delete your account and take legal action for Content integrity violations.

6. RESTRICTIONS OF USE

You warrant that while using our Platform, you will not:

Security Violations

Access data not intended for you
Log into unauthorized servers or accounts
Probe, scan, or test system vulnerabilities
Breach security or authentication measures
Perform unauthorized penetration tests

Harmful Activities

Distribute viruses, Trojan horses, worms, or harmful technologies
Interfere with service to users, hosts, or networks
Submit computer viruses, overload, flood, spam, or crash the Platform
Send unsolicited bulk emails, junk mail, spam, or chain letters

Prohibited Communications

Send unsolicited promotional emails
Use Platform to undermine or discredit BTECH
Circumvent fee structure or billing process
Infringe upon others' property
Violate applicable laws or regulations

Enforcement: Violation results in suspension, access blocking, and potential legal action.

7. USER OBLIGATIONS

Payment Responsibilities

Pay Purchase Price of ordered Products plus shipping charges
BTECH may deduct pending fees from your Wallet without notice
Insufficient Wallet funds may result in account suspension
Account suspension doesn't eliminate liability for unpaid dues

Legal Action: BTECH reserves the right to pursue legal action for unpaid fees and charges.

8. RETURN & REFUND POLICY

Order Cancellation

You may cancel or modify your purchase order within 7 days from placing the order by logging into your account.

Return Without Cause (14-Day Policy)

You may return or replace the Product within 14 days following receipt, provided:

Product is in same condition as received
Not opened, used, installed, damaged or altered
Original retail packaging and seal intact
Original invoice copy provided
Serial number/UPC not altered or tampered
Accompanied by user manual, spare parts, accessories, and free gifts
Not a clearance or final sale item
Not among non-returnable list

Return for Defects (30-Day Policy)

You may return or replace damaged or defective Products within 30 days following receipt, provided:

Original retail packaging and serial number intact
Returned with user guide, manuals, and accessories
Original invoice, price tag, user guide, manuals, and accessories provided
Problem not caused by improper use or installation
Not clearance or final sale item
Not among non-returnable list

Technical Agent Cases

For Other Brands: Head to the Product's technical agent in Egypt immediately for damage report.

When BTECH is Technical Agent: Report to our certified service centers immediately with detailed problem description. Expert technician inspection required. If damage confirmed, full refund within 7 days.

Important Notes

BTECH reserves right to reject non-compliant return requests
Refunds processed via original payment method, bank deposits, BTECH Wallet, or other methods
Refunds may take up to one month depending on bank processes
Replacement Products must be equal or higher in price
Review Product with courier before acceptance
You lose return rights if gifts are used, washed, or defective

Warranty Disclaimers

Except when BTECH is technical agent, Product manufacturer is responsible for compliance with descriptions. BTECH disclaims warranties regarding accuracy, completeness, reliability, or fitness for particular purpose.

9. THIRD-PARTY LINKS

Information Purpose Only

Our Platform contains links to third-party websites provided solely for informational purposes.

No Control or Endorsement

These sites are not under BTECH control or supervision
BTECH makes no representations regarding accuracy or suitability
We are not agents for these third parties
We do not endorse, recommend, guarantee, or approve their content

Your Risk

When clicking third-party links, you do so at your own risk. You agree not to make claims against BTECH related to your use of third-party sites.

Security Notice: Third-party security and privacy policies may differ from ours. Contact third parties directly with questions or concerns.

10. DISCLAIMER OF WARRANTY

Information Accuracy

While we endeavor to keep information up to date, correct and accurate, we make no representations or warranties about accuracy, correctness, adequacy, validity, reliability, completeness, suitability or availability.

"AS IS" Provision

All Products, information, Content, or Services are provided "AS IS" and on "AS AVAILABLE" basis. We make no representation that Services will:

Meet your requirements
Be uninterrupted or secured
Be bug-free or error-free

Liability Limitations

To the fullest extent permitted by law, BTECH shall not be liable for:

Direct, indirect, consequential, incidental, exemplary or punitive damages
Loss of data, profits, revenue, business, markets, opportunities, savings, reputation, or goodwill
Platform unavailability due to technical issues or maintenance
Damages from inability to access or use Platform

Product and Pricing Disclaimers

No guarantee of offer or promotion availability
Offers and prices subject to change at our discretion
Cannot confirm availability or prices until order placement
Reserve right to modify Content without liability
Price accuracy not guaranteed; may contact for price corrections

11. PRIVACY POLICY

Compliance and Protection

BTECH complies with BTECH Privacy Policy
Describes collection, use, and processing of personal information
Administrative, physical, and technical measures protect your information
Compliance with applicable laws and regulations

Policy Updates

We reserve the right to amend Privacy Policy at any time by posting amended version on Platform. Continued use constitutes consent to updated policy.

Information Sharing

When placing orders, we share personal information with Product Vendors. BTECH disclaims liability for Vendor disclosure or misuse of personal information.

12. USER GENERATED CONTENT

Content License

You grant BTECH a perpetual, irrevocable, non-exclusive, unrestricted, royalty-free and assignable license to use, process, copy, reproduce, transmit, modify, edit, adapt, translate, delete, disclose, publish, distribute, communicate, display and exploit Your Content for any purpose whatsoever.

Moral Rights Waiver

You waive any moral rights in Your Content in favor of BTECH and its successors, assigns and licensors.

Prohibited Content

Your Content may not contain:

False, fraudulent, inaccurate, deceptive, misleading, libelous, defamatory, unlawful, threatening information
Racist, derogatory, disrespectful, inappropriate, offensive material
Profane, obscene, sexually explicit, pornographic, or indecent content
Illegal or rights-infringing material
Content promoting bigotry, racism, violence, threat, hatred or harm
Solicitation to buy/sell outside Marketplace
Content violating Egyptian laws or third-party rights
Material disparaging BTECH or its Services

13. GENERAL TERMS

Product Availability

Products displayed until out of stock
No guarantee of Product availability
Right to delete or reject orders for out-of-stock items

Purchase Documentation

Purchase receipts sent to registered email address
Not responsible for incorrect or outdated email addresses
No obligation to resend vouchers

Order Verification

May request additional documentation to verify:

Your identity
Ownership of financial instruments
Entity representation authority
Trade licenses and incorporation certificates

Special Offers and Cancellations

One-hour offers limited to one Product per user
Right to reject or cancel orders at discretion
Refunds provided if payment already made
Orders may be cancelled for non-response to courier or repeated delivery refusal

Installment Requests

BTECH may reject installment requests without stating reasons
Approval requires credit information and score inquiries
Payment schedules may be amended prior to agreement
SMS notification of approval/rejection
Refund of inquiry fees if rejected
Loyalty Program cannot be redeemed on installment requests

14. PRODUCT WARRANTY

Service Centers

Our certified service centers provide:

Out-of-warranty maintenance services
Quality repairs for defects and technical issues
Original spare parts when needed

In-Warranty vs Out-of-Warranty

In-Warranty: Subject to Vendor terms; manufacturer liable for repair, maintenance, spare parts, or replacement.

Out-of-Warranty: BTECH certified service centers responsible.

When BTECH is Technical Agent: All maintenance and repair services carried out by our certified service centers.

Service Center Benefits

Advanced technology and equipment
Certified technicians with specific expertise
Precise and reliable services
Original spare parts only

Warranty Requirements

To benefit from Warranty Services:

Product serial number must be intact and legible
Defect not caused by improper installation, testing, repair, misuse, neglect, alteration, or accidents
No repairs outside BTECH authorized service centers
Replacements carry remainder of original warranty

Durable Products Warranty

Two-year warranty period following Product receipt
Defects within warranty period: replacement, return, refund, or repair at no charge
Services through certified service centers only

Warranty Limitations

BTECH provides no warranty that Products will:

Meet your requirements
Achieve intended results
Operate without interruption
Meet performance or reliability standards
Be error-free or have correctable errors

15. LIMITATION OF LIABILITY

Maximum Liability

To the fullest extent permitted by law, BTECH's aggregate liability is limited to and shall not exceed the purchase price, fees and charges paid to BTECH by you. Each transaction treated independently.

Excluded Damages

BTECH shall not be liable for:

Direct, indirect, incidental, consequential or exemplary damages
Loss of money, profits, goodwill, reputation, or data
Any damages even if apprised of possibility

16. INDEMNIFICATION

Your Obligations

You agree to indemnify, protect and hold BTECH harmless against damages, losses, liabilities, claims, penalties, costs and expenses arising from:

Your use and access of Services
Breach or violation of Terms or Privacy Policy

Account Suspension Consequences

Suspension/deletion for Terms violations
Prohibition on exploiting, undermining, or circumventing suspension
Continued liability for acts committed prior to suspension
Liability for anything connected to or arising from prior acts

17. BTECH SAFEPAY SYSTEM

Payment Methods

Payment for Products may be made through:

BTECH SafePay system (BTECH e-Wallet)
Cash on Delivery
Other alternative payment methods

Purpose: SafePay System facilitates purchase and payment transactions, notwithstanding other disclaimers or liability limitations.

18. USER PROTECTION PROGRAM

Protection Coverage

Protects against fraud, deceit, manipulation, or misrepresentation by Vendors when:

Product purchased through SafePay system
Product never received
Product received worth significantly less than described

How to Claim Protection

Notify BTECH in writing within 5 business days
BTECH investigates the matter
If intentional fraud determined, purchase price refunded
Vendor access may be limited, suspended, or withdrawn

19. USE OF NAMES

Intellectual Property Protection

BTECH tradename, trademark, logo, copyright, patent and proprietary rights are valuable BTECH property. You may not use or exploit these rights without express prior written consent.

Violations and Remedies

Violation causes irreparable damage and constitutes intellectual property infringement, entitling BTECH to:

Injunction and specific performance
Equitable relief through competent courts
Additional legal and equitable remedies

20. WAIVER

Failure of BTECH to require performance of any Terms shall not prevent subsequent enforcement or be deemed waiver of subsequent breach by any User.

21. SEVERANCE

If any provision is found invalid or unenforceable, it shall be enforced to the fullest extent permissible. Invalidity of one provision does not invalidate remaining Terms, which remain in full force and effect.

22. GOVERNING LAW & DISPUTES RESOLUTION

Applicable Law

Terms, Platform access and use, and relationship with BTECH governed solely by laws of the Arab Republic of Egypt.

Dispute Resolution

All disputes shall be resolved before competent courts of Egypt. You irrevocably submit to original and exclusive jurisdiction of Egyptian courts for all disputes.

ADDITIONAL INFORMATION

Mini Cash services are provided under the license of the General Authority for Financial Control, Number 7/2020.
